ÖZET

Tebligat, kişilerin idari ve yargısal haklarını kullanabilmelerine imkân tanıdığı, idari makamların tesis edecekleri işlemlerin hukuksal anlamda muhatabı nezdinde sonuç doğurabilmesini sağladığı için hemen her hukuk dalı için ayrı bir öneme sahiptir. Vergiye ilişkin işlemlerde de tebligatın, usulüne uygun yapılması, vergilendirme sürecini ve sonrasında cebren tahsil sürecini doğrudan etkilemektedir. Uygulama ve yargı kararları incelendiğinde özellikle tüzel kişilere yapılacak tebligat işleminde tebligatın kanuni temsilcilere yapılmasında bazı önemli sorunların yaşandığı görülmektedir. Vergi Usul Kanunu’na göre tüzel kişilere yapılacak tebligat, öncelikle tüzel kişinin iş yeri adresindeki başkan, müdür veya kanuni temsilcisine yapılmalıdır. Bunların iş yerinde bulunamadığı hallerde oradaki memur ya da müstahdemlerinden birine yapılabilir. İş yerinde bunlar da bulunamazsa ya da tüzel kişiliğin adresinin değişmiş olması, faaliyetini terk etmiş bulunması gibi sebeplerle iş yeri adresinde tebligat yapılmasına imkân bulunamazsa; tebligat, doğrudan kanuni temsilcinin yerleşim yeri adresinde yapılacaktır. Ancak, yerleşim yeri adresinde kanuni temsilciye yapılacak tebligatın doğrudan kendisine mi, yoksa kanuni temsilcinin bulunamadığı hallerde VUK md.94 uyarınca yerleşim yeri adresinde bulunanlardan birine mi yapılacağı hususu tartışmalıdır. Zira bazı yargı organları böyle bir durumda, bizatihi kanuni temsilcinin kendisine tebligat yapılması gerektiği koşulunu ararken, bazıları yerleşim yeri adresinde bulunanlardan birine tebligatın yapılabileceğini kabul etmektedir. Çalışmada bu tartışmalı durum yargı kararları ışığında değerlendirilecek ve bu farklılığın Danıştay İçtihadı Birleştirme Kurulu Kararı ile ortadan kaldırılmasına gerek olup olmadığı tartışılacaktır.

DIFFERENT INTERPRETATIONS OF LEGALS PROVISIONS BY JUDICIAL BODIES DURING THE NOTIFICATION TO THE LEGAL RESIDENCE OF LEGAL PERSONS TO THEIR LEGAL REPRESENTATIVES: AN EVALUATION ON THE NECESSITY OF THE DECISION OF THE ASSEMBLY ON THE UNIFICATION OF THE CONFLICTED JUDGMENTS OF THE PRESIDENCY COUNCIL OF STATE OF THE REPUBLIC OF TURKEY

ABSTRACT

Notification has a special importance for almost every branch of law, as it allows individuals to exercise their administrative and judicial rights and ensures that the transactions established by the administrative authorities to result before a legal interlocutor. In tax-related transactions, making the notification in a proper manner directly affects the taxation process and forcibly the collection process. When the implementation and judicial decisions are examined, it can be observed that there are some important problems in the notification process that are made to legal persons, in particular, to their legal representatives. According to the Tax Procedure Code, the notification to be made to legal persons must first be made to the president, manager or legal representative in the legal person’s place of work. In cases where the mentioned personnel are not at work, the notification can be made to a staff member or an office employee. If none of the latter are at work or it is not possible to notification to be made to the business address due the change of the address legal person or the closure of the business; the notification will be made directly to the address of the legal representative’s place of residence. However, it is controversial whether the notification to be made to the address of legal residence, will be made directly to the legal representative or to someone else, in cases where the legal representative is not there, according to the Tax Procedure Code. Some judicial organs maintain that the legal representative should be notified in person, while others agree that a notification can be made to someone else at the address of legal residence. This study, discusses this controversial topic in the light of judicial decisions and elaborates on whether or not this difference should be eliminated with the decision of the Assembly on the Unification of the Conflicted Judgments of the Presidency Council of State of the Republic of Turkey.
