Anonim ve limited şirketler ile kooperatiflerin borca batık durumda bulunduğu şüphesini uyandıran işaretler varsa, yönetim kurulu/müdürler tarafından bir ara bilanço çıkartılır. Bu bilançodan aktiflerin, şirket alacaklılarının alacaklarını karşılamaya yetmediğinin anlaşılması halinde yönetim kurulu/müdürler, bu durumu mahkemeye bildirir ve şirketin iflasını ister. Şirket yöneticileri veya herhangi bir alacaklı yeni nakit sermaye konulması dahil nesnel ve gerçek kaynakları ve önlemleri gösteren bir iyileştirme projesini mahkemeye sunarak iflasın ertelenmesini isteyebilir. Bu halde İcra ve İflas Kanununun ilgili hükümleri uygulanır.İşte bu çalışmada,iflasın ertelenmesinin koşulları, etkileri ve sona ermesi üzerinde durulmuş, ayrıca bu hususta mevzuatta yapılması gereken değişiklikler tartışılmıştır.
If there are signs that evoke the suspicion that joint stock and limited liability companies and cooperatives are debt-choked, an intermediate balance sheet is prepared by the executive board / managers.In case it is understood that the assets in this balance sheet fall short of meeting the receivables of the company’s creditors, the executive board or the managers report this situation to the court and requests that company is declared bankrupt.Company executives or any creditor may present an improvement project that shows the objective and real sources and precautions including putting up a new cash capital and may request postponement of bankruptcy.In this case, the provisions of Execution and Bankruptcy Law are applied.Here in this study, conditions, consequences and termination of bankruptcy have been addressed, and the amendments that must be made in the legislation regarding this issue have been discussed.
