6102 sayılı T.T.K. hükümlerine göre tutulacak olan ticari defterlerin T.T.K.’nun 64’uncu maddesi hükmüne göre gerçek ve tüzel kişi tacirler tarafından tutulması gerekmektedir. Diğer yandan T.T.K.’nun 562’nci maddesi hükmü T.T.K.’nun 64’uncu maddesinin birinci fıkrasının birinci ve üçüncü cümlesindeki yükümlülükleri yerine getirmeyen tacirlerin sorumlu tutulacağını belirtmektedir. T.T.K.’nun 63’uncu maddesi hükmünün haksız fiillerde cezai sorumluluğun tüzel kişi adına hareket eden veya etmesi gerekmiş olan organın üyeleri veya ortaklarına uygulanması hükmü karşısında Kanun koyucunun defter tutma ile ilgili yükümlülüklerde yönetim kurulu üyelerinin ve yöneticilerinin sorumluluğunu öngörmesi bir tedvin zaafından kaynaklanmıştır. Bu makalemizde buna ilişkin hükümler irdelenmiş olup, bu konuda neden Kanun değişikliğine ihtiyaç bulunduğu üzerinde durulmuştur. Aynı zamanda T.T.K.’nun ticari defterler başlıklı 64’uncu ve muteakip maddelerine göre defter tutulması ve tasdik esasları ile ilgili hükümler analiz edilmiştir.
Commercial books have been regulated in the fifth section of the Turkish Code of Commerce no. 6102. Books that are obliged to be kept and authorized by real and legal persons subject to the Turkish Code of Commerce refl ect the economic and financial situation, debts and receivables of the commercial business of tradesmen as well as the formation and development of the company’s activities. The Turkish Code of Commerce has specified the basic rules regarding the preparation of all kinds of documents related to the commercial activities of tradesmen, excluding the obligation of bookkeeping of commercial records, and bookkeeping of the books and commercial documents as well as their presentation when necessary. The Turkish Code of Commerce has also provisions regarding the books that must be authorized among books that are obliged to be kept. The Turkish Code of Commerce has regulated bookkeeping of commercial records, arrangement of commercial documents, authorization of commercial books that are obliged to be authorized and provisions regarding bookkeeping of all kinds of commercial books and documents and then it has also regulated under a different section heading the penal sanctions as well as persons to be subjected to the penal sections in case these liabilities are not fulfilled. This article analyzes some incomplete regulations in the law regarding books that are obliged to be kept and authorized by tradesmen according to the provisions of the Turkish Code of Commerce, implementation of penalties in case these books are not kept at all or are not kept in accordance and persons to be faced with penalties.
